MEMBERSHIP AGREEMENT

Article - 1 Parties

This Membership Agreement ("Agreement") has been electronically concluded between the individuals ("Members") who become members of the website www.crosscheck.tech ("Website") operated by CrossCheck. Hereinafter, the Company and the Member will be referred to together as the "Parties."

 

Article - 2 Subject of the Agreement

The subject of this Agreement is the determination of the terms and conditions for using the Website and membership in the context of the products or services that the Member will receive through the Website.

 

Article - 3 Establishment of the Agreement

(a) THE MEMBER DECLARES AND ACCEPTS THAT THEY HAVE READ, UNDERSTOOD, AND ARE AWARE OF THEIR RIGHTS AND OBLIGATIONS.

(b) THE PARTIES ACKNOWLEDGE THAT THERE IS NO DISPROPORTION BETWEEN THE OBLIGATIONS AGREED UPON IN THE AGREEMENT AND THAT THE MUTUAL OBLIGATIONS ARE SUITABLE FOR THE NATURE OF THE BUSINESS, AND THEY ACCEPT THAT THERE IS NO INEXPERIENCE IN THE TRANSACTIONS RELATED TO THE SUBJECT OF THE AGREEMENT.

(c) THE MEMBER ACKNOWLEDGES THAT THEY HAVE FULLY CONSIDERED THAT THE TRANSACTIONS INCLUDED IN THE AGREEMENT ARE SUITABLE FOR THEIR OWN BENEFIT AND THAT THEY WILL ADHERE TO ALL CONDITIONS WITH THEIR OWN FREE WILL, WITHOUT DIFFICULTY OR DISTRESS, AFTER CONSIDERING, DESIRING, AND KNOWINGLY.

(d) THE PARTIES ACKNOWLEDGE THAT THE PROVISIONS OF THE AGREEMENT DO NOT POSSESS ANY UNFAIR TERMS THAT COULD BE CONSIDERED UNFAIR, AND THERE IS NO UNFAIRNESS IN TERMS OF BALANCE OF INTERESTS.

(e) THIS AGREEMENT DOES NOT CONTAIN ANY UNFAIR TERMS ABOUT UNFAIR TERMS IN CONSUMER CONTRACTS ACCORDING TO THE REGULATIONS REGARDING UNFAIR TERMS IN CONSUMER CONTRACTS. THE PROVISIONS DO NOT VIOLATE THE PRINCIPLES OF GOOD FAITH AND HONESTY AND HAVE BEEN PREPARED IN ACCORDANCE WITH CONSUMER PROTECTION LEGISLATION.

(f) THE PROVISIONS OF THIS AGREEMENT HAVE BEEN PREPARED TAKING INTO ACCOUNT THE PROVISIONS OF THE TURKISH CODE OF OBLIGATIONS. THE BINDING AND CONTENT CONTROL ENVISAGED IN ARTICLE 21 OF THE TURKISH CODE OF OBLIGATIONS HAS BEEN CARRIED OUT BY THE MEMBER. NONE OF THE PROVISIONS OF THIS AGREEMENT IS FOREIGN TO THE NATURE OF THIS AGREEMENT AND THE SPECIFICITY OF THE BUSINESS (SURPRISING TERMS). THE PROVISIONS OF THIS AGREEMENT ARE WRITTEN IN A CLEAR AND UNDERSTANDABLE MANNER AND DO NOT EXPRESS MORE THAN ONE MEANING.

 

Article - 4 Membership

4.1 Membership is acquired by completing the membership procedures on the Website (and concluding this Agreement).

4.2 The Member declares that they are at least 18 years old (or older) to acquire membership under Article 4.1 and that they understand and accept these conditions. If the Member is under the age of 18 but at least 13 years old and has the capacity to discern, they must use the Website only under the supervision of a parent or legal representative. In this context, the Member declares that their parent or legal representative has reviewed and accepted the Agreement.

4.3 Members are obliged to provide accurate, true, and up-to-date information regarding membership procedures. The scope of this information is determined by the Company and may be changed, expanded if necessary. This information can be changed and updated by the Member at any time. The Member must obtain the information listed in the information list for their membership to continue, and if there is any change, they must update their information.

4.4 The Company may share the Member's information with relevant official authorities to fulfill regulatory or enforcement processes of official authorities or judicial decisions upon request.

4.5 If Members use a nickname during the completion of the membership procedures, the nickname must not be contrary to the law and morality; it must not contain insults, profanity, demeaning language, or words that harm personal rights.

4.6 Members can leave the membership at any time. The termination of membership has no effect on the rights and obligations arising from the Agreement and the provisions that, due to their nature, should remain in effect even if the Agreement is terminated (compensation due to violations, final provisions, etc.).

Article - 5 Rights and Obligations of the Parties

Article - 6 Termination of the Agreement

6.1 The Member and the Company can terminate this Agreement at any time.

6.2 The termination of the Agreement has no effect on the rights and obligations arising from the Agreement and the provisions that, due to their nature, should remain in effect even if the Agreement is terminated (compensation due to violations, final provisions, etc.).

 

Article - 7 Final Provisions

7.1 This Agreement is subject to the laws of the Republic of Turkey and will be interpreted accordingly.

7.2 The Istanbul Caglayan Courts and Istanbul Caglayan Execution Offices are authorized to resolve all disputes arising from or related to this Agreement.

7.3 The Parties accept that the documents and electronic records owned by the Company will be exclusive evidence in the event of any disputes arising within the framework of this Agreement.

7.5 Transactions made through the Website, which have the nature of a declaration of intent, are considered binding statements for the Parties in accordance with the Turkish Code of Obligations, consumer legislation, and other applicable legislation.
